Acceptance of Terms

Welcome to Forge Perfect. By accessing our website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services. Please read these terms carefully before proceeding.

Services Description

Forge Perfect provides professional web and mobile application development services, including but not limited to:

• Custom web application development
• Mobile application development (iOS and Android)
• UI/UX design and prototyping
• Web3 and blockchain integration
• API development and integration
• Consulting and technical advisory services

Specific project details, scope, deliverables, and timelines will be outlined in individual project agreements or statements of work.

Project Scope and Agreements

Each project will be governed by a separate agreement that outlines:

• Project scope, requirements, and specifications
• Deliverables and acceptance criteria
• Timeline and milestones
• Payment terms and schedule
• Change request procedures
• Support and maintenance terms (if applicable)

Any changes to the agreed scope must be documented and approved by both parties in writing. Additional work beyond the original scope may result in adjusted timelines and costs.

Payment Terms

Unless otherwise specified in your project agreement:

• Payment schedules will be based on project milestones or phases
• An initial deposit may be required before work commences
• Invoices are due within 14 days of receipt unless otherwise agreed
• Late payments may incur additional fees or project delays
• Final deliverables may be withheld until full payment is received

All fees are exclusive of applicable taxes, which are the client's responsibility.

Intellectual Property Rights

Client Ownership: Upon full payment, you will own the final deliverables created specifically for your project, including custom code, designs, and content developed exclusively for you.

Forge Perfect Ownership: We retain ownership of:

• Pre-existing intellectual property, tools, and frameworks
• Reusable components and methodologies
• General knowledge and expertise gained during the project

Third-Party Components: Projects may incorporate open-source libraries and third-party services, which are subject to their respective licenses.

Portfolio Rights: Unless otherwise agreed, we reserve the right to showcase completed projects in our portfolio and marketing materials.

Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide timely feedback and approvals
• Supply necessary content, assets, and access credentials
• Designate a primary point of contact for project communications
• Ensure they have rights to any materials provided to us
• Review and test deliverables within agreed timeframes
• Make timely payments as per the agreed schedule

Delays caused by client inaction may result in project timeline adjustments.

Warranties and Disclaimers

Our Warranties: We warrant that our services will be performed with reasonable skill and care, and that deliverables will substantially conform to agreed specifications.

Disclaimer: Except as expressly stated, our services are provided "as is" without warranties of any kind, express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Uninterrupted or error-free operation
• Specific results or outcomes from our services
• Compatibility with all third-party systems or services

Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the total fees paid by you for the specific project in question
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for damages resulting from your use or inability to use our deliverables
• We are not responsible for third-party services, APIs, or platforms integrated into your project

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of our engagement. This obligation survives the termination of our services. Confidential information does not include information that is publicly available or independently developed.

Termination

Either party may terminate a project agreement:

• By mutual written consent
• If the other party materially breaches the agreement and fails to cure within 14 days of written notice
• Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, you agree to pay for all work completed up to the termination date. We will deliver all completed work upon receipt of payment.

Dispute Resolution

In the event of any dispute arising from these terms or our services, both parties agree to first attempt to resolve the matter through good faith negotiations. If negotiations fail, disputes may be resolved through mediation or arbitration as mutually agreed. Any legal action must be brought in the jurisdiction where Forge Perfect is registered.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified terms. Existing project agreements will remain governed by the terms in effect when the agreement was executed.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Forge Perfect operates, without regard to its conflict of law provisions.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms of Service, together with any project-specific agreements, constitute the entire agreement between you and Forge Perfect regarding our services and supersede all prior agreements and understandings.
